i have a restaurant i named it wing street cafe bar and grill, after two years pizza hut ( wingstreet llc ) telling me i have to get rid of my restaurant name and all the menus etc… because it is a us or worldwide pattent for restaurant. but my main business is bar and wings.. what shoud i do???

Question: We are a Mexican Corp. and have a DISTRIBUTION AND REPRESENTATION AGREEMENT with a US Company, which is trying to initiate an anticipated cancellation of our contract arguing that we have not made enough efforts and showed sales results..We want to know is they have any legal basis to do that and if we have or not Mexico’s TERRITORY EXCLUSIVITY.
CLAUSES
1. Services to be rendered. ” YYYY, LLC ” hereby retains ” XXXX, LLC ” to provide the sales services to ” YYYY, LLC ” as a Distributor and Sales Representative with the following terms:
a) Territory: Mexico and Centro America with the exclusion of ABC SA DE CV in Piedras Negras, Coahuila which has been assigned to another distributor.
b) ” YYYY, LLC ” reserves the right to sell to Original Equipment Manufacturers and non mining & aggregate end users
Responsibilities of ” XXXX, LLC “:
a). Identify customers for ” YYYY, LLC “s products;
b). Within such limitations relating to price, delivery and other key terms as ” YYYY, LLC ” may from time to time specify in writing, and subject to acceptance by ” YYYY, LLC ” (by e-mail or US postal) negotiate sales contracts as ” YYYY, LLC ” ‘s sales representative.
c). Monitor Requests for Quotations, Purchase Orders, Supply Contracts, negotiations, and performance by ” XXXX, LLC “’s customers and END USERS, including acceptance of quality, product performance, delivery, payment terms, etc.
2. Compensation to ” XXXX, LLC “:
a). End Users’ Sales price of XXXX, LLC “, will be defined by ” XXXX, LLC ” according the competitive and market conditions for the specific product and/or services in the territory or region where ” YYYY, LLC”’s products are sold.
b). Considering that ” YYYY, LLC ” price list’ is quoted, FOB its Falkville, Alabama, USA, Plant, parties agree that ” XXXX, LLC ” will add the corresponding freight charges up to the Mexican border or to the final location of the customers plus the corresponding payable import tax to Mexico (if any), for every product or group of products to be shipped.
c). When acting as ” YYYY, LLC “’s Distributor, ” XXXX, LLC ” will directly invoice the products and services provided by ” YYYY, LLC” to end users and will be obliged to pay ” YYYY, LLC” according the terms and payment conditions agreed between ” YYYY, LLC” and ” XXXX, LLC “.
(d) When acting as ” YYYY, LLC “’s Sales Representative which will apply for special large customer’s orders, ” XXXX, LLC ” will act only as a technical and selling liaison between ” YYYY, LLC “’s and end users. In this case “YYYY, LLC ” will be responsible for invoicing and collection of the amounts due, if credit was granted to the customers. ” YYYY, LLC” will be, at the same time obliged to pay ” XXXX, LLC ” the sales’ commissions agreed for these specific large purchase orders.
e). All payments to ” YYYY, LLC” shall be in US dollars.
f). All payments to ” XXXX, LLC ” shall be in US dollars.
g) All payments to ” XXXX, LLC ” shall be deposited at the following Bank
Account number: # 111111111 of IXY Bank (IXY Bank) with ABA /RT No. 1111111111 under the name of XXXX, LLC .
3. Term of Aqreement. Effective from March 1st. 2011 and shall expire on March 1ST 2016 unless
Earlier terminated by i) mutual written agreement or ii) for not meeting objectives listed below. Neither expiration or termination of this Agreement shall terminate the obligation of “YYYY, LLC ” to pay ” XXXX, LLC ” for services rendered with respect to sales following such date that result from orders received prior to such date and/or commissions described in clause4 -d) and 4-e).This agreement will be automatically renewed for an additional years for meeting, as shown below:

Year 1 $200,000
Year 2 $500,000
Year 3 $750,000
Year 5 $1,000,000.

Hi im 13 and i have lived with my mother since i was born and now all of a sudden my father wants to take me out of the blue …. when my mother and him where married he abused and cheated with her. how do i know that i hav a 13 yr old half sister who is like three months younger than me ..my mother went ot cort for custody and he never showed up soo now she has custody and tht is the way i want it but …i want to have an say as to where is go (i want to stay with my mother full time ) im afraid there going to make me stay with my father …. my mother work in sales i also live with my grandmother she pay for alot of my things and oart of schooling but im happily fine i dint want it to change …it would seem like living with a stranger ..i dont want to get to know him @ all he even made up a fake facebook to get information about me

I lost my three luggage in the hotel. I went to Disneyland on June 28 at 8:30 in the morning, I locked the door and turn off the lights, and I was back to hotel about 7:40pm. when I came back, the door was open, my three luggage was missing. I called the police right away. The insurance company said they asked the housekeeper, she did not take anything from my room. again, no matter what my luggage was missing inside of my room. They just told us to wait for insurance company to solve it because the worker said they can not do anything for that. I wait for almost two month, the insurance company said they will not pay anything.can I sue the company?thank you

My wife has a child with another man. Neither have custody although we were told by a lawyer that my wife has physical custody because the child has lived with her his entire life. The biological father has now told us that he is getting a judge to rule that we are not allowed to move back to our home state after I am done in the military. The bio father is in arizona with the military himself and not in kansas with us. Are we at risk of not being allowed to move back to our home state were all of our family is?

My employer sent an email which automatically downloaded information into my home personal computer. The company in no way paid for my computer or the program it accessed. They also gave no proir notification or asked permission. When I asked them to use an alternative method of communication they said they would not due to time constraints. Is this an invasion of my privacy?

How do you regain ownership of your finances and guardianship of yourself, if you singed a POA and gave-up your rights voluntairy, without the preceeding being explained to you. I was found incompitant after my automobile accident case went through count and I won several million dollars. I haven’t been tested again since 2001. And, I feel like the main reason I am so powerless is for that reason. What do you think? What can be done to regain my independance? Please, be very descriptive replys.
